These terms are an agreement between you and NOVA IMPACT LTD, a private limited company registered in England and Wales under company number 16126510, with its registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom ("NOVA IMPACT LTD", "we", "us"). NOVA IMPACT LTD owns and operates Clippergen (https://clippergen.com). By creating an account or using Clippergen, you agree to these terms.
1. The service
Clippergen is an online software service. You upload a video you own, and it transcribes the video, picks highlights automatically and renders short vertical clips with captions that you can download. Clippergen does not download videos from YouTube or any other platform. You can only process files you upload yourself.
2. Your account
You must be at least 18 years old, or the age of majority where you live, to buy credits. Give accurate information when you sign up, keep your password secret, and tell us straight away if you think someone else has accessed your account. One person or business may hold only one free account.
3. Prices and payments
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. When you buy credits, you buy them from Paddle, and Paddle's Buyer Terms also apply to the purchase.
Credit packs are one-time purchases, not subscriptions. You are never billed automatically or on a recurring basis. Prices are shown on our pricing section and in your dashboard before you pay. Paddle may add sales tax or VAT at checkout based on your location. Your receipt and invoice are sent by Paddle.
4. Credits
Processing a video uses credits: one credit for each started minute of uploaded video. Credits are reserved when you submit a job and returned to your balance automatically if the job fails. Purchased credits do not expire while your account is open. Free credits given at sign-up or as a promotion have no cash value, cannot be refunded and may be withdrawn if they are abused. Credits cannot be transferred between accounts or exchanged for cash.
5. Refunds
You can ask for a refund within 14 days of your purchase. Our refund policy explains how refunds work. Refunds are issued by Paddle to your original payment method. Nothing in these terms limits your statutory rights as a consumer.
6. Your content
You may only upload videos and subtitles you own or have permission to use. You keep all rights to your uploads and to the clips Clippergen produces from them. You give NOVA IMPACT LTD a limited, non-exclusive licence to store and process your uploads only to provide the service to you. Source uploads are deleted once processing finishes, as described in our privacy policy. You are responsible for the clips you publish.
7. Acceptable use
Do not upload illegal content, content that infringes someone else's rights, or content that sexualises minors, promotes violence or harasses others. Do not try to bypass limits, create several accounts to multiply free credits, reverse engineer the service, resell it without our written permission, or overload it. 8. Our intellectual property
The Clippergen software, website, name and logo belong to NOVA IMPACT LTD. These terms do not give you any rights to them except the right to use the service as described here.
9. Suspension and closing your account
You can stop using Clippergen and ask us to close your account at any time. We may suspend or close an account that breaks these terms, after telling you where we reasonably can. If we close your account without you having broken these terms, we will refund any unused purchased credits. If we ever stop offering Clippergen, we will give you reasonable notice and refund unused purchased credits.
10. Warranties and liability
Highlights, titles and captions are generated automatically and may contain mistakes, so review clips before you publish them. We provide the service with reasonable care and skill, but we do not guarantee it will always be available or error-free. To the extent the law allows, NOVA IMPACT LTD is not liable for indirect or consequential losses, such as lost profits, lost data or lost opportunities. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
11. Governing law and changes
These terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer living elsewhere in the UK or in the EU, you keep the protection of the mandatory laws of your country and may bring claims in your local courts. We may update these terms. The date at the top shows the latest version, and we will email you before a material change takes effect.
